Pan African Resources buys out Emmerson in A$311m all-share deal and lists on ASX
Pan African Resources acquired Emmerson Resources, its 25% partner in the Tennant Creek gold joint venture in Australia's Northern Territory, in an all-share deal worth about A$311m ($218m). The scheme was implemented in June 2026, alongside a new ASX listing for Pan African.

Pan African Resources said on 9 March 2026 that it would acquire ASX-listed Emmerson Resources, which owned 25% of the Tennant Creek joint venture in Australia's Northern Territory. Pan African already controlled the other 75% and operated the joint venture's Nobles gold mine.
Terms
The deal was all-share. Emmerson shareholders received 0.1493 new Pan African shares, delivered as ASX-traded CHESS depositary interests, for each Emmerson share, which meant issuing about 103 million new shares. Miningmx valued it at £163m, or A$311m. Mining Technology put it at about $218m. The price was a 36.4% premium to Emmerson's last close before the announcement. Emmerson's board and holders of 26.2% of its shares supported the deal.
Completion
Emmerson shareholders approved the scheme in mid-June. Pan African completed the acquisition on 22 June 2026 and started trading on the ASX through a foreign-exempt listing, alongside its existing London and Johannesburg quotes. Emmerson was then removed from the ASX.
Rationale
Chief executive Cobus Loots said single ownership of the Tennant Creek field would let Pan African plan project sequencing and processing across the district as a whole. Nobles is expected to produce 46,000 to 50,000 ounces a year, with potential to reach about 100,000 ounces. Pan African forecast 275,000 to 292,000 ounces of group output for the year to June 2026, up from about 187,000 ounces two years earlier. Growth has come from Mintails and other tailings projects in South Africa as well as from Australia.
The ASX listing gives the Johannesburg-based miner access to Australian investors, who tend to value gold producers highly, as it grows into a mid-tier company.
