Theta Gold Mines secures $90m bond to fund Pilgrim's Rest project construction
The four-year, 12.75%-coupon bond will finance plant, tailings and power infrastructure for the TGME development
Theta Gold Mines announced on 1 June 2026 that it had priced a US$90m (roughly A$125.3m) senior secured bond to fund construction of its TGME gold mine project near Pilgrim's Rest in Mpumalanga. The bond carries a 12.75% coupon, was issued at 95.9% of face value, and has a four-year tenor, with no principal repayment for the first 30 months followed by quarterly amortisation of $7.5m. Settlement was expected in mid-June 2026, with a subsequent listing on the Euronext Nordic ABM planned within nine months.
What the money is for
Proceeds are earmarked for construction and development of the TGME project, including processing plant works, tailings and water-management infrastructure, equipment procurement and power infrastructure upgrades. Theta Gold chairman Bill Guy called the project "a cornerstone development initiative for the region," adding that the bond structure gave the company "substantial operational flexibility" to complete construction.
A high-return, long-life project
A revised definitive feasibility study completed in February 2026 underpinned the financing, showing a grade of 4.96 grams per tonne, an internal rate of return of 77%, a payback period of just 29 months, and a 13.1-year life of mine. The study put the project's net present value at $689m with cumulative free cash flow of $1.4bn over its life — figures that helped Theta secure debt funding rather than diluting shareholders further through equity.
Plant commissioning was targeted for late 2026, with first gold pour expected in the first quarter of 2027. The bond announcement preceded, by three months, the first drawdown of funds under the facility, and formed part of a broader wave of financing activity among South African gold developers, alongside West Wits Mining's Qala Shallows funding package concluded the same month.
